OPC Registration in Chennai
Want to start a company on your own without a second shareholder? One Person Company (OPC) Registration lets an eligible individual incorporate a company with a single member, while keeping the business as a separate legal entity.
An OPC sits between a sole proprietorship and a Private Limited Company — you stay the sole member, while the company structure gives you a separate legal identity and limited liability, subject to applicable law.
Aanoor Global helps solo founders with OPC registration in Chennai — company name selection, DSC, DIN, nominee documentation, SPICe+ filing, MOA/AOA preparation, PAN, TAN and incorporation support.

What Is a One Person Company?
An OPC is a company incorporated under the Companies Act for an individual who wants to run a corporate entity without a second shareholder. It has one member, one mandatory nominee, at least one director, a separate legal identity, and limited liability subject to applicable law.
Unlike a proprietorship, an OPC is incorporated as a company and receives its own Certificate of Incorporation and Corporate Identification Number.
“OPC,” “One Person Company,” and “Single Person Company” are different names for the same structure.
Who Can Register an OPC?
The member must be a natural person who is an Indian citizen. The 2021 amendments also opened OPC incorporation to eligible Indian citizens who are NRIs, and reduced the resident-in-India threshold to 120 days. A nominee is mandatory — per MCA's INC-3 requirements, the nominee should also be an Indian citizen resident in India.
Key eligibility points:
- ✓ One individual as sole member; a nominee must be identified and give consent through the applicable form
- ✓ A minor cannot be the member or nominee
- ✓ Member and nominee must meet the applicable citizenship/residency requirements
- ✓ A person cannot hold membership in more than one OPC at the same time
Who Should Consider an OPC?
- ✓ Solo entrepreneurs who want to own and control the business but prefer a company structure
- ✓ Consultants and professionals where corporate contracting matters
- ✓ Freelancers moving from individual projects to a structured business
- ✓ Small technology businesses — solo SaaS/software founders wanting formal structure without a second shareholder
- ✓ Traders and small business owners who want a company structure for contracts, banking, and credibility

SPICe+ for OPC Registration
SPICe+ is the MCA's electronic incorporation framework, covering company incorporation, name reservation, DIN application, PAN, TAN, MOA, and AOA in one filing.
MCA's SPICe+ guidance provides a zero-filing-fee concession for authorised capital up to ₹15 lakh — but applicable state stamp duty and other charges still apply, which is why OPC cost can't be quoted as one fixed government fee for every applicant. Authorised capital also affects stamp duty — choose it based on your actual business needs, not just to minimise upfront cost.
Registration Costs
| Fee Component | Indicative Amount |
|---|---|
| MCA filing fee (SPICe+) | ₹0, for authorised capital up to ₹15 lakh |
| TN stamp duty (MOA/AOA) | ₹1,000–₹2,000 for standard OPC capitalisations |
| DSC (1 director) | ₹1,000–₹2,000 |
| PAN/TAN | Included in SPICe+ |
| Professional fees | ₹7,000–₹15,000 |
| Indicative total | ₹9,000–₹27,000+ |
Benefits
Limitations
OPC Annual Compliance
An OPC is still a company and carries ongoing statutory compliance — this is one of the most common misconceptions solo founders have. Depending on circumstances, this can include financial statement preparation and filing, annual return filing (Form MGT-7A applies specifically to OPCs and small companies), income-tax compliance, statutory records, board/member resolutions, auditor-related requirements, director filings, and GST/TDS compliance where applicable.
An OPC also receives specific procedural treatment under Section 122 of the Companies Act for member and board matters — it doesn't follow the exact same meeting framework as a multi-member company.
OPC GST Registration
Not automatic on incorporation — depends on nature of supply, turnover, state and place of business, interstate supplies, e-commerce activity, and other GST provisions. If applicable, the OPC registers using its incorporation and business details.
OPC Bank Account
After incorporation, the OPC needs a bank account in the company's name. Banks typically require the Certificate of Incorporation, company PAN, and the INC-20A (commencement of business) acknowledgement before activating full current account operations, along with MOA/AOA, board/member authorisation where applicable, KYC documents, and registered-office proof. Exact requirements vary by bank — confirm with your chosen bank.
OPC Conversion to Private Limited Company
A common misconception: that an OPC must automatically convert to a Private Limited Company past a certain turnover or capital threshold. The old ₹50 lakh paid-up capital and ₹2 crore turnover mandatory-conversion thresholds were removed in the 2021 amendments. OPCs can also voluntarily convert into a private or public company by following the applicable procedure.
Choose your structure based on actual business plans — if you need multiple shareholders, co-founders, equity investors, or institutional funding, a Private Limited Company may suit better.
OPC vs Sole Proprietorship vs Private Limited Company
| Factor | OPC | Sole Proprietorship | Private Limited Company |
|---|---|---|---|
| Owners | One member | One proprietor | Two or more |
| Separate legal entity | Yes | No | Yes |
| Limited liability | Generally yes, subject to law | Generally no | Yes, subject to law |
| MCA incorporation | Yes | No | Yes |
| Nominee | Required | Not applicable | Not applicable |
| Compliance | Moderate | Generally lower | Higher |
| Equity fundraising | Not designed for multiple investors | No | Yes |
| Best for | Solo founder wanting company structure | Small individual business | Growth and investment-oriented business |
Choose a proprietorship if simplicity is the priority and the business is small. Choose an OPC if you want to stay the sole owner but prefer a formal company structure. Choose a Private Limited Company if you expect co-founders or equity investors.
Common Mistakes to Avoid
Choosing a name without checking availability or trademark conflicts
Treating the nominee requirement as optional — it's part of the incorporation process
Inconsistent registered-office documents
Leaving DSC and DIN as afterthoughts instead of planning them upfront
Choosing OPC when you already know you'll need investors
Ignoring post-incorporation compliance after receiving the Certificate of Incorporation
